This Author Publishing Agreement ("Agreement") is between the participating author, publisher, or authorized rights holder ("Author") and Bigupstar.com LLC, operator of GiftedPages4U ("GiftedPages4U"). By electronically accepting, signing, or submitting approved content for publication after being presented with this Agreement, the Author agrees to its terms.
Except for rights expressly granted here, the Author retains ownership of the Author's copyright and other rights in submitted works. GiftedPages4U does not acquire ownership merely by hosting or distributing a work.
The Author grants GiftedPages4U a non-exclusive, worldwide license during the term to host, reproduce for technical delivery, encode, transcode, format, display, stream, distribute, make available, promote, market, demonstrate, and provide customer access to approved content.
This license includes GiftedPages4U websites, web applications, connected-TV applications, Roku experiences, Alexa or supported voice experiences, and other GiftedPages4U-controlled or approved distribution channels added during the term, subject to the rights the Author has granted.
The Author permits GiftedPages4U to use the Author's name or pen name, titles, covers, descriptions, excerpts, previews, sample audio, and approved promotional assets to market the work and platform.
Unless a written addendum says otherwise, this Agreement is non-exclusive. The Author may distribute the same work elsewhere if doing so does not violate another agreement or prevent performance here.
GiftedPages4U may accept, reject, delay, request corrections to, suspend, unpublish, or remove content for technical quality, rights, legal, policy, metadata, security, safety, or business reasons. Publication, placement, promotion, sales, streams, usage, and continued availability are not guaranteed.
Unless a title-specific schedule says otherwise, eligible direct sales processed by GiftedPages4U use a 70% Author / 30% GiftedPages4U split under the Commission & Earnings terms.
Ordinary GiftedPages4U checkout processing fees are paid from the platform's 30% share rather than separately deducted from the Author's 70%. Taxes, refunds, chargebacks, reversals, fraud, and amounts not actually collected are excluded from eligible revenue.
Membership access is not treated as a separate full-price sale each time a subscriber opens a work. If an Author's content participates in membership compensation, GiftedPages4U will use the creator-pool, usage-based, fixed-license, promotional, or other method disclosed in the applicable schedule, dashboard, or written program notice.
GiftedPages4U and the Author may establish list prices, ranges, promotions, subscription participation, free previews, or other offers. Revenue share is based on the eligible amount actually collected unless another written promotion term applies.
GiftedPages4U will maintain commercially reasonable records used to calculate amounts due. Payout timing, thresholds, methods, and required tax/identity information may be established in the dashboard or payout instructions. GiftedPages4U may reasonably delay or offset amounts related to refunds, chargebacks, fraud, rights disputes, legal claims, or missing information.
The Author is responsible for taxes on Author earnings except amounts GiftedPages4U must legally collect, report, or withhold. The Author will provide accurate requested tax documentation.
Reader and customer data remains subject to the GiftedPages4U Privacy Policy. The Author does not obtain unrestricted rights to customer account or payment data merely because customers access the Author's work.
GiftedPages4U may restrict content while investigating credible infringement notices, court orders, ownership disputes, or other rights concerns. The Author agrees to cooperate reasonably.
To the extent permitted by law, the Author agrees to defend, indemnify, and hold harmless GiftedPages4U and Bigupstar.com LLC from third-party claims, damages, liabilities, and reasonable costs arising from the Author's material breach of the rights warranties or submission of content the Author lacked authority to distribute.
GiftedPages4U retains ownership of its software, interfaces, branding, databases, systems, and other platform intellectual property. This does not transfer ownership of the Author's work.
This Agreement remains effective until terminated. Either party may request termination, subject to reasonable processing time, outstanding customer-access obligations, refunds, accounting, legal requirements, and title-specific terms. GiftedPages4U may suspend or terminate immediately for fraud, infringement, security threats, unlawful conduct, material breach, or urgent legal requirements.
After removal, GiftedPages4U may retain archival, accounting, security, legal, and transaction records and may take reasonable steps concerning previously purchased or granted customer access where required by law, contract, technical necessity, or the terms disclosed when access was sold.
GiftedPages4U may update generally applicable terms prospectively. Material changes affecting revenue share or core distribution rights will receive reasonable notice before taking effect for continued participation, except where immediate change is required by law or security.
The parties are independent contracting parties. This Agreement does not create employment, partnership, franchise, fiduciary, or general agency relationships beyond the limited distribution authority granted here.
To the maximum extent permitted by law, neither party will be liable to the other for indirect, incidental, special, consequential, exemplary, or punitive damages arising solely from participation, except where prohibited by law or inconsistent with an express indemnification obligation.
This Agreement, Commission & Earnings terms, Publishing Guidelines, applicable title schedules, and incorporated policies form the agreement for participation. A signed title-specific addendum controls over conflicting standard terms for that title.
